Echo Automation – Terms and Conditions

Please read these Terms and Conditions carefully before using our software and services.

Interpretation and Definitions

Interpretation

Words whose initial letters are capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or plural.

Definitions

For the purposes of these Terms and Conditions:

  • Application means the Echo desktop software provided by the Company and installed by You on a computer or other Device.

  • Company (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) means Echo Automation, based in Israel.

  • Country refers to Israel.

  • Device means any device that can run the Application, such as a computer or virtual machine.

  • Feedback means feedback, ideas, or suggestions sent by You regarding the attributes, performance, or features of our Application or Service.

  • Service refers collectively to the Application, our website (https://echo-automation.io), our licensing and telemetry backend, and any related online services provided by the Company.

  • Terms and Conditions (also referred to as "Terms") mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.

  • You means the individual using the Service, or the company or other legal entity on whose behalf such individual is using the Service, as applicable.

Acknowledgment

These Terms and Conditions govern Your use of the Service and form the agreement between You and the Company. They set out the rights and obligations of all users regarding the use of the Service.

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms apply to all users who access or use the Service.

By installing, accessing, or using the Service You agree to be bound by these Terms and Conditions. If You do not agree with any part of these Terms and Conditions, You may not use the Service.

You represent that You are over the age of 18. The Company does not permit those under 18 to use the Service.

Your use of the Service is also conditioned on Your acceptance of and compliance with the Company's Privacy Policy. Our Privacy Policy describes how we collect, use, and disclose Your personal information when You use the Application or the Website. Please read it carefully before using the Service.

License to Use Echo

Subject to Your continued compliance with these Terms (including payment of any applicable fees), the Company grants You a limited, non-exclusive, non-transferable, revocable license to:

  • install and run the Application on one or more Devices owned or controlled by You, and
  • use the Application solely for Your own internal purposes (personal or business, as permitted by Your license type).

You do not acquire any ownership rights in the Application or any part of the Service. All rights not expressly granted to You are reserved by the Company and its licensors.

Unless expressly permitted in writing by the Company, You must not:

  • sublicense, sell, resell, rent, lease, loan, distribute, or otherwise transfer the Application or Your license key to any third party;
  • copy, modify, adapt, translate, create derivative works of, or attempt to merge the Application with other software, except as allowed by applicable law;
  • reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Application or any part of the Service, except to the limited extent that applicable law expressly permits despite this restriction;
  • remove, alter, or obscure any copyright, trademark, or proprietary notices;
  • bypass, disable, or otherwise interfere with any license, activation, or security mechanisms of the Application;
  • use the Application in any manner that infringes or violates the rights of any person or entity, or any applicable law or regulation.

If You breach these license terms, the Company may suspend or terminate Your access to the Service and/or Your license without refund and may pursue any other remedies available under law.

Accounts, Licenses, and Payments

Some features of the Service may require registration of an account and/or purchase of a license.

You are responsible for maintaining the confidentiality of any credentials, license keys, or activation codes associated with Your use of the Service, and for all activities that occur under Your account or using Your license key.

License keys may be bound to specific Devices or usage limits. You agree not to share license keys beyond what is expressly allowed by Your license type.

If You fail to pay any applicable fees or if We detect unauthorized or abusive use (such as license key sharing beyond Your permitted limits), We may suspend or terminate Your access to the Service.

Details of pricing, license duration, and entitlements may be specified on our website or in separate ordering documents. In case of conflict between those commercial terms and these Terms, the commercial terms for the specific purchase will prevail as to fees, license scope, and duration.

Acceptable Use

You agree not to use the Service:

  • in any way that violates any applicable law or regulation;
  • to automate, access, or interact with third-party services in a manner that violates their terms of service or acceptable use policies;
  • to interfere with or disrupt the integrity or performance of any systems or networks, or to circumvent security or access controls;
  • to develop or deploy malware, ransomware, spyware, or any other harmful or abusive software;
  • to harass, threaten, or harm any person or entity;
  • to attempt to gain unauthorized access to any account, Device, data, or network.

You are solely responsible for how You use Echo and what You choose to automate. The Company is not responsible for any loss, damage, or breach resulting from Your use of the Service, including misconfigured or incorrect automations.

The Company may, at its sole discretion, suspend or terminate Your access to the Service if it reasonably believes that You have violated this Acceptable Use section.

Intellectual Property

The Service and its original content (excluding Content provided by You or other users), features, and functionality are and will remain the exclusive property of the Company and its licensors.

The Service is protected by copyright, trademark, and other laws of Israel and other countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of the Company.

Your Feedback to Us

You assign to the Company all rights, title, and interest in any Feedback You provide. If such assignment is not effective for any reason, You grant the Company a non-exclusive, perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, disclose, sublicense, distribute, modify, and otherwise exploit such Feedback without restriction.

Links to Other Websites

Our Service may contain links to third-party websites or services not owned or controlled by the Company.

The Company has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with Your use of or reliance on any such content, goods, or services.

We strongly advise You to read the terms and conditions and privacy policies of any third-party websites or services that You visit.

Termination

We may terminate or suspend Your access to the Service, including Your license to use the Application, immediately and without prior notice or liability, for any reason, including (without limitation) if:

  • You breach these Terms, including the license or acceptable use provisions;
  • You fail to pay any applicable fees;
  • We are required to do so by law.

Upon termination, Your right to use the Service will cease immediately, and You must stop using the Application and uninstall it from Your Devices.

Limitation of Liability

Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of these Terms and Your exclusive remedy shall be limited to the amount actually paid by You for the Service in the twelve (12) months preceding the event giving rise to the claim, or 100 USD if You have not purchased anything through the Service.

To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, business interruption, personal injury, loss of privacy, or any damage caused by erroneous or misconfigured automations) arising out of or in any way related to the use of or inability to use the Service, even if the Company or any supplier has been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion of certain damages or limitations on liability, so some of the above limitations may not apply to You. In those cases, the Company's liability will be limited to the greatest extent permitted by law.

"AS IS" and "AS AVAILABLE" Disclaimer

The Service is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its Affiliates and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and warranties that may arise out of course of dealing, course of performance, or trade practice.

Without limiting the foregoing, the Company does not warrant that the Service will meet Your requirements, achieve any intended results, be compatible with any particular hardware or software, operate without interruption, or be error-free, or that any errors can or will be corrected. You are responsible for testing and validating Your automations before relying on them in production or critical environments.

Some jurisdictions do not allow the exclusion of certain warranties or limitations on statutory rights, so some of the above exclusions may not apply to You. In such cases, the exclusions and limitations will apply to the greatest extent permitted by law.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Israel, without regard to its conflict of law provisions. Your use of the Service may also be subject to other local, state, national, or international laws.

Dispute Resolution

If You have any dispute or concern about the Service, You agree to first try to resolve it informally by contacting the Company. If a dispute is not resolved informally, it shall be submitted to the competent courts located in Israel, unless mandatory law provides otherwise.

For European Union (EU) Users

If You are a European Union consumer, You will benefit from any mandatory provisions of the law of the country in which You are resident.

United States Legal Compliance

You represent and warrant that (i) You are not located in a country subject to a United States government embargo, or designated as a "terrorist supporting" country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.

Severability and Waiver

Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision shall be modified and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions shall continue in full force and effect.

Waiver

Except as expressly provided otherwise in these Terms, the failure to exercise a right or to require performance of an obligation shall not affect a party's ability to exercise such right or require such performance at any time thereafter, nor shall the waiver of a breach constitute a waiver of any subsequent breach.

Translation Interpretation

These Terms and Conditions may have been translated if We have made them available to You in multiple languages. You agree that the original English text shall prevail in the case of any dispute.

Changes to These Terms and Conditions

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material, We will make reasonable efforts to provide notice (for example, by updating the date at the top of this page or providing an in-app notice) prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.

By continuing to access or use the Service after revisions become effective, You agree to be bound by the revised Terms. If You do not agree to the new Terms, You must stop using the Service and uninstall the Application.
